Position Summary:
|
This position will have responsibility for providing support to the Senior Counsel and Assistant Corporate Secretary and partnering with the Senior Paralegal on matters involving corporate governance, domestic and international subsidiary management, compliance, and general litigation.

Accountabilities
|
- Partner with Senior Paralegal on general compliance and corporate governance matters for the Company’s domestic and international subsidiaries, including obtaining notarizations, apostilles, formation documents, certified copies, corporate filings, and other corporate documents.
- Support broader corporate secretary function with governance and other corporate matters, including support and coordination of Board and committee meetings (both with internal stakeholders and with Board members) and other matters including preparation of minutes, shareholder engagement, and corporate recordkeeping.
- Assist corporate team in providing general corporate support to finance, treasury, tax, and other internal departments on broad range of matters.
- Work closely with in-house counsel members on general litigation matters, pre-litigation disputes, and related matters.
- Support Senior Counsel and Assistant Corporate Secretary on compliance-related matters, including drafting and reviewing of policies, presentations and required disclosures.
- Support other members of the legal department on cross functional initiatives as needed.

Required Education, Skills and Experience
- Undergraduate degree from an accredited university.
- Minimum of 3 years’ paralegal experience.
- Experience working in-house at a public company.
- Experience working with Diligent Boards software.
- Proficient in Microsoft Office Suite (particularly, Word, EXCEL, PowerPoint, and SharePoint), DocuSign or equivalent, and Adobe Acrobat Pro.

- The ability to multi-task, manage multiple emails, and meet deadlines in a fast-paced environment.
- Paralegal certificate preferred
- Experience working with multiple clients, both domestically and globally.
- Experience with project management
- Excellent written and verbal communication skills, including the ability to communicate with outside counsel, when necessary.
- Strong attention to detail with the ability to analyze and synthesize data.
- Ability to work well both in a team and independently.

Any Additional Information
- Ability to work from the Shelton office two days a week or as business needs require.
The salary range for this position is $64,000 - $95,000. Actual base salary offered to a candidate may vary based upon factors including, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance.
